1. ELIGIBILITY: NO PURCHASE NECESSARY TO ENTER OR TO WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. The "TCM Summer Under the Stars and Women & Wine™ Sweepstakes" (the "Sweepstakes") is open to all legal residents of the fifty (50) United States and the District of Columbia, age eighteen (18) or older, except for employees, officers, directors and agents of Turner Classic Movies, Inc. (the "Sponsor"), Women & Wine™ and each of their respective parents, subsidiaries, divisions, trustees, franchisees, participating vendors, distributors, advertising and promotion agencies and affiliated entities (collectively, with the Sponsor, "Sweepstakes Entities") or their immediate families (spouse, parent, child, sibling and their respective spouses) and household members (whether or not related). Void wherever prohibited by law. Sweepstakes is governed by U.S. law and subject to all applicable federal, state and local laws and regulations. By entering the Sweepstakes, entrants agree to accept and be bound by all terms of these Official Rules and Regulations ("Official Rules"). Picturehouse is not responsible for the collection, submission or processing of entries, the administration of the Sweepstakes or the selection of Winners.

2. HOW TO ENTER: From 12:01p.m. Eastern Time ("ET") on 08/01/2008 through 11:59p.m. ET on 08/31/2008 (the "Entry Period"), Sponsor will conduct a national Sweepstakes encouraging participants to enter for a chance to win a prize as further described herein. To enter, during the Entry Period, a participant must either: (i) log on to the TCM website, located at http://www.tcm.com/summer/sweepstakes (the "Website") and complete and submit the online entry form, including his/her name, address, telephone number (including the area code), e-mail address (if any), and birth date or (ii) send a standard-sized letter including the entrant’s name, address, telephone number, e-mail address (if any) and age to: "TCM Summer Under the Stars and Women & Wine™ Sweepstakes" Entry, 1050 Techwood Drive, NW, Atlanta, GA 30318. Limit one (1) entry per outer mailing envelope. Limit one (1) entry per person and/or email address and/or household, regardless of method of entry, per twenty-four (24) hour period during the Entry Period. To be eligible: (i) each online entry must be received by the end of the Entry Period and (ii) each mail-in entry must be postmarked no later than the end of the Entry Period and received by Sponsor by July 7, 2008. All entries must be submitted in the name of an individual person and a prize can only be awarded to the person whose name is on the winning entry. Entries generated by script, macro or other automated means will be void. The Sweepstakes Entities are not responsible for misdirected, incomplete, lost, late, illegible, undelivered, inaccurate or delayed entries, postage due entries or for technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions or other errors or problems that may limit or affect a person’s ability to participate in the Sweepstakes, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Sweepstakes, including, without limitation, errors that may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prizes or in any Sweepstakes-related materials. In the event of sabotage, acts of God, terrorism or threats thereof, computer virus or other events or causes beyond the Sponsor’s control, that corrupt the integrity, administration, security or proper operation of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to modify, cancel or suspend the Sweepstakes. In the event of cancellation, Sponsor reserves the right, in its sole discretion, to award the prize from among all eligible, non-suspect entries received prior to the event requiring such cancellation. False or deceptive entries or acts will render the entrant ineligible. All entries become the property of the Sponsor and will not be acknowledged or returned.

3. WINNER SELECTION/ODDS: One (1) grand prize winner (the "Grand Prize Winner") and up to twenty-five (25) first prize winner(s) (the "First Prize Winner(s)") will be randomly chosen by Sponsor on or around July 10, 2008 from among all eligible entries received during the Entry Period (the Grand Prize Winner and the First Prize Winner(s) will be collectively referred to as the "Winners"). The decisions of Sponsor will be final and binding in all matters with respect to the Sweepstakes. The Winners will be contacted by U.S. mail, e-mail and/or telephone using the contact information provided at the time of entry and must meet all eligibility requirements including the timely execution and return of all necessary releases and documents (if any) required by Sponsor. Many will enter; only up to twenty-six (26) will win. The actual odds of winning will depend on the total number of eligible entries received during the Entry Period.

4. PRIZES: One (1) Grand Prize is available. The Grand Prize Winner will receive the opportunity to host a private screening party for the Grand Prize Winner and up to fifty (50) guests to see the Picturehouse film "Kit Kittredge: An American Girl," at a local theater in the Grand Prize Winner's home town, as selected by Picturehouse and Sponsor in their sole discretion (the "Screening") and one (1) "Kit Complete Collection" prize pack which may include American Girl products such as a doll, a book and/or other American Girl merchandise, as selected by Picturehouse and Sponsor in their sole discretion (the "Prize Pack"), at an approximate retail value ("ARV") of Two Thousand Dollars ($2,000). The Screening must be scheduled through Picturehouse and Sponsor, and the specific date, time and location of the Screening shall be at the sole discretion of Picturehouse and Sponsor. The Screening shall include popcorn and soft-drinks for the Grand Prize Winner and his/her invited guests. The Screening must be scheduled on a date between July 2, 2008 - September 1, 2008 or the Screening portion of the Grand Prize will be forfeited. The Grand Prize Winner and all guests of the Grand Prize Winner, or their parent or legal guardian if any such guest is a minor, will be required to sign a liability release and where permissible, a publicity release in advance to attend the Screening. In the event that the Grand Prize Winner or any of his or her guests engage during the Screening in behavior that (as determined by Sponsor or Picturehouse in its sole discretion) is disruptive, threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Picturehouse reserves the right to terminate the Screening early, and send the Grand Prize Winner and/or his or her guest(s) home without further compensation. If any guest is a minor, such guest must attend with his or her parent or legal guardian or have permission to attend from his or her parent or legal guardian in a form acceptable to Picturehouse in its sole discretion. Any expenses not specifically stated are the sole responsibility of the Grand Prize Winner.

FIRST PRIZE: Up to twenty-five (25) First Prizes are available. Each First Prize Winner will each receive one (1) "Essentials Jr." DVD collection, at an ARV of Sixty Dollars ($60) per First Prize Winner.

TOTAL ARV OF ALL PRIZES (26): Three Thousand Five Hundred Dollars ($3,500).

No cash alternative or prize substitutions will be allowed, except Sponsor reserves the right to substitute prize(s) of comparable value if any prize listed is unavailable for any reason. Prizes or applicable portions thereof will be delivered only to addresses in the United States. Grand Prize Winner is responsible for all costs and expenses in connection with the Screening not expressly provided for above, including, ground transportation to and from the Screening, parking, meals, additional snacks or beverages, or any other personal expenses incurred. The Sweepstakes Entities make no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Sweepstakes. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND THE SWEEPSTAKES ENTITIES HEREBY DISCLAIM ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

The Winners are responsible for the reporting and payment of all taxes (if any) as well as any other costs and expenses associated with acceptance and use of a prize not specified herein as being awarded. All other prize details not expressly set forth herein are at Sponsor's sole discretion.

5. GENERAL RULES AND REGULATIONS: By entering this Sweepstakes, participants grant Sweepstakes Entities and their designees the right, unless prohibited by law, to use their names, cities and states of residences, voices, pictures and likenesses, without compensation, notification or approval, for the purpose of advertising and publicizing the goods and services of the Sweepstakes Entities and all matters related to the Sweepstakes, in any manner or medium, now or hereafter known, throughout the world in perpetuity. The potential Grand Prize Winner and guests of the Screening, may be required to execute an affidavit of eligibility, liability release, tax acknowledgment form and, except where prohibited by law, a publicity release ("Winner Documents") and return within five (5) business days of issuance of notification. Noncompliance within this time period or failure of the potential Grand Prize Winner to respond to a notification attempt within five (5) days of such attempt may result in disqualification and, in Sponsor's sole discretion, an alternate winner may be selected. If: (i) any prize or prize notification is returned as undeliverable; (ii) the potential Grand Prize Winner declines his or her prize; or (iii) the potential Grand Prize Winner fails to comply with any of the Official Rules as outlined herein, such potential Grand Prize Winner will be disqualified and an alternate Grand Prize Winner may be selected by random drawing at the Sponsor's sole discretion. Entrants (and any minor entrant's parent or legal guardian) agree that Sponsor: (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Sweepstakes or any Sweepstakes-related activity, or from entrants' acceptance, receipt, possession and/or use or misuse of any prize, and (B) has not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize's quality or fitness for a particular purpose.

6. OFFICIAL RULES OR WINNERS LIST: For a copy of the Official Rules or the Winners' names (available on or about August 5, 2008), send a self-addressed, stamped envelope (residents of VT need not include return postage on rules requests) to the following address by October 5, 2008 (please specify "Official Rules" or "Winners") – "TCM's Essentials Jr: An American Girl" Sweepstakes, 1050 Techwood Drive, Atlanta, GA 30318.

7. GOVERNING LAW/JURISDICTION: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS, SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF NEW YORK WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE'S LAWS.
