OFFICIAL RULES AND REGULATIONS

1. NO PURCHASE NECESSARY. Sweepstakes ("Sweepstakes") open to all legal residents of the 48 contiguous United States and the District of Columbia, age 18 years or older, except employees, officers, directors, agents and shareholders (and their immediate families (spouse, parent, child, sibling and their respective spouses) and household members (whether or not related)) of Turner Classic Movies LP, LLLP ("TCM"), TIVO Inc. ("TiVo") (collectively, the "Sponsors"), and their respective parents, subsidiaries, divisions, trustees, franchisees, participating vendors, distributors, advertising and promotion agencies and affiliated entities (collectively, with the Sponsors, "Sweepstakes Entities"). Void in Alaska, Hawaii, New York, Florida and wherever prohibited by law. Sweepstakes is governed by U.S. law and subject to all applicable federal, state and local laws and regulations. By entering the Sweepstakes, entrants agree to accept and be bound by all terms of these Official Rules and Regulations ("Official Rules").

2. HOW TO ENTER: From February 1, 2007 through March 3, 2007 (the "Entry Period"), Sponsors will conduct a national Sweepstakes promoting TCM’s "31 Days of Oscar" programming and encouraging participants to enter for a chance to win a prize. To enter, during the Entry Period, a participant must either: (i) log on to the TCM website, located at www.tcm.com beginning at 6:00p.m. Eastern Time ("ET") on February 1, 2007 and complete and submit the online entry form, including their name, address, telephone number (including the area code), e-mail address (if any), and birth date or (ii) send a standard-sized letter with first-class postage affixed, including the entrant’s name, address, telephone number, e-mail address (if any) and birth date to: "31 Days of Oscar Sweepstakes" Entry, 1050 Techwood Drive, N.W., Atlanta, GA 30318. Limit one (1) entry per outer mailing envelope. To be eligible: (i) each online entry must be received no later than 11:59 p.m. ET on March 3, 2007 and (ii) each mail-in entry must be mailed separately and all mail-in entries must be postmarked no later than March 3, 2007 and received by March 8, 2007. All entries must be submitted in the name of an individual person and the prize can only be awarded to the person whose name is on the winning entry. Entries generated by script, macro or other automated means will be void. The Sweepstakes Entities are not responsible for misdirected, incomplete, lost, late, illegible, undelivered, inaccurate or delayed entries, or for technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions or other errors or problems which may limit or affect a person’s ability to participate in the Sweepstakes, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prizes or in any Sweepstakes-related materials. In the event of sabotage, acts of God, terrorism or threats thereof, computer virus or other events or causes beyond the Sponsors’ control, which corrupt the integrity, administration, security or proper operation of the Sweepstakes, Sponsors reserve the right, in their sole discretion, to modify, cancel or suspend the Sweepstakes. In the event of cancellation, Sponsors reserve the right, in their sole discretion, to award the prize from among all eligible, non-suspect entries received prior to the event requiring such cancellation. False or deceptive entries or acts will render the entrant ineligible. All entries become the property of the Sponsors and will not be acknowledged or returned. Limit one (1) entry per person, e-mail address or household per twenty-four (24) hour period.

3. HOW TO WIN: One (1) grand prize winner (the "Grand Prize Winner") and thirty (30) first prize winners (the "First Prize Winners") will be randomly chosen by an independent judging organization on or around March 23, 2007 from among all eligible entries received during the Entry Period (the "Grand Prize Winner" and the "First Prize Winners" will be collectively referred to as the "Winners"). The decision of the judges will be final and binding in all matters. The odds of winning will depend on the total number of eligible entries received during the Entry Period. The Winners will be confirmed by U.S. mail, e-mail and/or telephone and must meet all eligibility requirements including the timely execution and return of all necessary releases and documents (if any) required by Sponsors.

4. PRIZES: One (1) Grand Prize Winner will receive a three (3) day/two (2) night trip to Los Angeles, CA, for two (2) and one (1) TiVo box with Product Lifetime Subscription to the TiVo service (as further described below), at an approximate retail value ("ARV") of Three Thousand Four Hundred Dollars ($3,400). The trip will include the following: (a) round trip coach class air transportation for two (2) from the major U.S. gateway airport nearest the Grand Prize Winner’s residence to a Los Angeles-area airport; (b) one (1) room, double-occupancy standard hotel accommodations for two (2) at a hotel in Los Angeles, CA, for two (2) nights; (c) two (2) tickets redeemable for bleacher seats on the red carpet during the 80th annual Academy Awards® ceremony (the "Red Carpet Bleacher Seats"), tentatively scheduled for February 2008 in Los Angeles, California; and (d) Five Hundred Dollars ($500) spending money. The actual value of the Grand Prize may vary based on point of departure and airfare fluctuations. The Grand Prize Winner is responsible for all costs and expenses not expressly provided for above, including, without limitation, ground transportation, additional meals, incidentals, tips, telephone calls, souvenirs, other personal expenses and hotel charges incurred during the trip. All travel arrangements must be made through Sponsors’ agent on a carrier of Sponsors’ choice and trip must be booked a minimum of forty-five (45) days in advance. Dates are subject to availability and certain black-out dates and other travel restrictions may apply. Sponsors reserve the right to approve any travel dates and trip must be taken by March 1, 2008. Sponsors are not responsible for any travel related delays or cancellations. The Red Carpet Bleacher Seats are non-transferable, non-refundable, and not for resale. The Grand Prize Winner and his/her guest must pass a criminal background check and each must provide the following information to Sponsor by January 17, 2008: (i) name, (ii) address, (iii) driver’s license number and state, (iv) telephone number(s), (v) e-mail address and (vi) social security number. The Grand Prize Winner and his/her guest may appear in television or print media coverage of the event. By accepting the Grand Prize, the Grand Prize Winner and his/her guest grant the Sweepstakes Entities, the Academy of Motion Picture Arts and Sciences® ("AMPAS®") and their authorized media participants the right to use their image or likeness in perpetuity for any purpose in connection with the Academy Awards®, including but not limited to promotional and media coverage purposes. The Grand Prize Winner and his/her guest must wear appropriate attire and conduct themselves in an appropriate, professional manner while attending the Academy Awards®. Individuals wearing inappropriate attire will not be admitted, and individuals conducting themselves in an inappropriate or unprofessional manner will be ejected. No signs or promotional material of any kind are permitted. AMPAS® reserves the right to refuse admittance to anyone, in its sole discretion. Thirty (30) First Prize Winners will each receive one (1) TiVo box with Product Lifetime Subscription to the TiVo service, at a total ARV of Seven Thousand Dollars ($7,000). Redemption of the TiVo service is subject to the redemption policies of TiVo. TiVo® Series2™ DT Box with Product Lifetime Subscription to the TiVo service. A "Product Lifetime Subscription" to the TiVo service covers the life of the particular TiVo DVR and not the life of the subscriber. The Product Lifetime Subscription accompanies the TiVo DVR in case of ownership transfer. Full terms and conditions of the TiVo service apply. See www.tivo.com/policies for details. TOTAL ARV OF PRIZES (31 PRIZES): Ten Thousand Four Hundred Dollars ($10,400). No substitution or transfer of prizes or cash redemptions permitted by the Winners. Sponsors reserve the right to substitute for any reason whatsoever a prize (or portion thereof) of comparable or greater value, at their sole discretion. Prizes are awarded "as is" with no warranty or guarantee, either express or implied by Sponsors. Winners are responsible for the reporting and payment of all taxes (if any) as well as any other costs and expenses associated with acceptance and use of a prize not specified herein as being awarded. Grand Prize Winner and guest are responsible for obtaining proper documentation (e.g., valid photo ID) prior to travel. All prize details are at Sponsors’ sole discretion.

5. GENERAL RULES AND REGULATIONS: By entering this Sweepstakes, participants grant Sweepstakes Entities and their designees the right, unless prohibited by law, to use their names, cities and states of residences, voices, pictures and likenesses, without compensation, notification or approval, for the purpose of advertising and publicizing the goods and services of the Sweepstakes Entities and all matters related to the Sweepstakes, in any manner or medium, now or hereafter known, throughout the world in perpetuity. Grand Prize Winner’s travel companion must be a legal US resident and of legal age of majority in his/her state of residence (and at least age 18) unless Grand Prize Winner is such guest’s parent or legal guardian. The Winners will be required to execute an affidavit of eligibility, liability release, tax acknowledgment form and, except where prohibited by law, a publicity release ("Winner Documents") and return within five (5) business days of issuance of notification. Noncompliance within this time period or failure of the potential Winner to respond to a notification attempt within five (5) days of such attempt may result in disqualification and, at Sponsors’ sole discretion, an alternate winner may be selected. If: (i) any prize or prize notification is returned as undeliverable, (ii) a potential Winner declines his or her prize, (iii) the potential Grand Prize Winner is unable to travel on dates approved by Sponsors or (iv) a potential Grand Prize Winner fails to comply with any of the Official Rules as outlined herein, such potential Winner will be disqualified and an alternate winner may be selected by random drawing at the Sponsors’ sole discretion. The Sweepstakes Entities expressly disclaim any responsibility and entrants agree to indemnify and hold harmless the Sweepstakes Entities from and against any and all claims, actions, demands and/or liability for injury, damage or loss whatsoever relating to or arising in connection with participation in this Sweepstakes (regardless of the cause of such injury, damage or loss) and/or the delivery and/or subsequent use or misuse of any of the prizes awarded (including any travel or activity related thereto).
